Tonbo Imaging India Limited - IPO Note

Tonbo Imaging India Limited is a Bengaluru-based defence electronics company incorporated in December 2003. It designs and develops advanced electro-optical and infrared imaging technologies, sensing systems, processing solutions, communication systems and guidance technologies for defence and security applications. Its products support surveillance, reconnaissance, target acquisition, weapon control and missile guidance requirements. The company operates an asset-light business model, retaining control over product design, research and development and core intellectual property while outsourcing manufacturing to third-party manufacturers. In March 2024, it acquired intellectual property from CEAQ Technologies Pte. Ltd., enabling it to own 100% of the intellectual property associated with its business since Financial Year 2024.

Tonbo's products are broadly classified into two principal categories: Tactical systems: These include thermal imaging cores, weapon sights and handheld thermal imaging binoculars designed for soldiers and security personnel. Products such as Bloodhound and Bloodhound R support observation, surveillance and reconnaissance, including day-and-night operations. Platform systems: These comprise electro-optical and infrared subsystems integrated into ground vehicles, aircraft, unmanned aerial vehicles (UAVs), naval platforms and weapon stations. Key products include the Avenger S50, Hummingbird family of gimbals, AGS30/ELPEOS fire-control systems and TRAP missile seekers. The company is also developing loitering munition platforms and directed-energy systems, including WaveStrike, a high-power microwave platform intended to counter drone threats.

Scale and market position, as of June 30, 2026, Tonbo had deployed more than 28,000 systems across 24 countries. According to the Frost & Sullivan industry report cited, the company was India's largest manufacturer of thermal imaging systems by sales value supplied to government and defence agencies during April 2024-March 2026. It also accounted for 94% of India's thermal imaging exports by units during FY24-FY26. The company's competitive positioning is supported by proprietary technology spanning optics, electronics and embedded software, alongside an asset-light manufacturing model. Its research and development team comprised 133 employees in FY26.

Use of Proceeds

The Initial Public Offering (IPO) of Tonbo Imaging India Limited is structured as an Offer for Sale (OFS), under which existing shareholders offer their equity shares to the public. The offer proceeds from the sale of shares will be received by the selling shareholders, and the company will not receive any proceeds from the Offer for Sale.

Competitive Strengths

Leadership in Thermal Imaging SystemsTonbo Imaging has established a strong position in India’s defence electronics industry. According to the Frost & Sullivan industry report cited, the company was the largest manufacturer of thermal imaging systems by sales value for government and defence agencies in India during April 2024–March 2026. It also accounted for 94% of India’s thermal imaging exports by units during FY24–FY26, highlighting its competitive positioning in specialised defence imaging technology.

Proprietary Technology and Intellectual PropertyThe company’s competitive advantage lies in its proprietary technology spanning optics, infrared imaging, embedded software and electronics. Since Fiscal 2024, Tonbo has owned 100% of its intellectual property, following the acquisition of intellectual property from CEAQ Singapore in March 2024. This ownership reduces dependence on external technology partners and provides greater control over product design, development and innovation. Its in-house technological capabilities support the development of specialised defence solutions tailored to operational requirements.

Global Presence and Proven DeploymentTonbo’s products have been deployed across 24 countries, with more than 28,000 systems operational as of June 30, 2026. Its international customer base includes defence and security organisations across India, Europe, the United States and Israel. This global exposure demonstrates the acceptance of its technologies across diverse operating environments. The company’s electro-optical products are not subject to the United States International Traffic in Arms Regulations (ITAR), providing greater flexibility to serve certain export-sensitive markets and supporting its international expansion opportunities.

Comprehensive and Diversified Product PortfolioTonbo offers a broad portfolio of defence electronics, including thermal imaging cores, weapon sights, hand-held thermal imaging binoculars, targeting systems, missile seekers, fire-control systems and missile-guidance systems. Its capabilities span visible-light imaging, infrared imaging and multisensor systems, serving tactical and platform-based applications. This diversified portfolio enables the company to address multiple defence requirements through a common technology platform, reducing reliance on a single product category. In FY26, tactical systems contributed Rs.211.68 crore, while platform systems generated Rs.144.81 crore in revenue.

Asset-Light Business Model and Research CapabilitiesThe company follows an asset-light operating model, retaining control over core technology, product design and intellectual property while outsourcing manufacturing. This approach reduces the need for substantial investment in production facilities and allows greater focus on research and development (R&D). During FY26, Tonbo incurred R&D expenditure of Rs.25.86 crore, equivalent to 8.62% of total expenses, supported by a 133-member R&D team. Continued investment in proprietary technology, product innovation and engineering capabilities strengthens its ability to develop advanced defence systems while maintaining capital efficiency.

Key Risks & Concerns

High Customer Concentration Risk The company depends on a limited number of large defence customers, including government agencies, military organisations and defence original equipment manufacturers. In FY26, its top five customers contributed Rs.192.32 crore, representing 53.03% of revenue from operations. The loss of a major customer, reduction in procurement or non-renewal of contracts could materially affect revenue, profitability and cash flows. Furthermore, defence contracts are often tender-based, with limited assurance of repeat orders.

Export Dependence and Geopolitical RisksTonbo’s international business exposes it to geopolitical tensions, changes in defence procurement policies, export regulations and shifting security priorities across markets. Exports contributed 65.52% and 48.61% of revenue from operations in FY25 and FY24, respectively, before declining significantly in FY26. Increased preference for domestic suppliers in overseas markets, international trade restrictions or prolonged geopolitical conflicts could delay orders, disrupt execution and adversely affect the company’s financial performance.

Dependence on Contract ManufacturersTonbo follows an asset-light business model and outsources manufacturing to selected contract manufacturers. While this approach reduces capital requirements, it creates dependence on external manufacturing capacity, quality control, delivery schedules and operational continuity. Any disruption, deterioration in product quality, financial difficulties of manufacturing partners or inability to secure suitable replacements could delay customer deliveries and increase costs. The company also faces risks relating to intellectual property leakage and the concentration of manufacturing with a limited number of suppliers.

Customer and Government Budgetary ConstraintsA significant portion of demand for Tonbo’s products is linked to government defence and security expenditure. Budgetary constraints, changes in political priorities, reduced defence spending or the reprioritisation of procurement programmes could delay or cancel orders. Government customers may also delay invoice payments, affecting working capital and cash flows. Since defence procurement typically involves multiple approval stages and technical evaluations, even favourable policy announcements may not translate into immediate orders or revenue.

Technology Obsolescence and Research and Development RisksDefence imaging technologies continue to evolve, requiring sustained investment in research and development, product upgrades and innovation. Adversaries may adopt countermeasures such as thermal masking, camouflage, laser dazzlers and decoys, reducing the effectiveness of existing systems. Tonbo must continuously enhance product performance to remain competitive. Failure to develop new technologies on time, meet stringent defence specifications or achieve successful product qualification could adversely affect its competitive position, future orders and profitability.

Regulatory, Litigation and Compliance RisksTonbo operates in a highly regulated defence ecosystem, requiring compliance with procurement rules, product standards, export requirements and contractual obligations. Changes in defence acquisition policies or regulatory restrictions could affect eligibility for tenders and market access. Customs notice received in July 2026 relating to certain pre-June 2026 transactions, for which the ultimate outcome could not be determined with certainty at the time of disclosure. Any adverse regulatory or legal developments could result in financial liabilities, additional costs or operational disruption.

Outlook and Valuation

Tonbo Imaging India is positioned to benefit from India’s defence indigenisation initiatives, rising demand for advanced electro-optical and infrared systems, and increasing requirements for surveillance, targeting and battlefield awareness. Its proprietary technology established global presence across 24 countries and diversified tactical and platform systems provide a foundation for future growth. As of June 30, 2026, the company had a confirmed order book of Rs.314.24 crore and subsequently received additional orders worth Rs.118.15 crore between July and September 2026. However, execution timelines, customer concentration and the conversion of orders into revenue remain key monitorable. On a valuation perspective, In the near term, pick-up in execution, sustainable margins and reduction in working capital days would drive growth. At the upper price band, the issue is valued at ~80x P/E (on FY26 EPS) and ~11x market-cap/sales may seem fair, we recommend SUBSCRIBING to the issue, with potential for listing gains as well as medium- to long-term value creation.
